In accordance with the provisions of the Companies Act, 2016, every company must have at least one Company Secretary. Clients may engage the firm to provide the services of company secretaries for their respective companies.

Core to the secretarial services provided by the firm is the advisory services to ensure compliance by clients to the provisions of the Companies Act, 2016 and if applicable the Listing Requirements of Bursa Malaysia Securities and Securities Industry Act 1983.
Compliance
Clients, especially foreign clients, may also engage the firm’s appointees to serve as their corporate representative in Malaysian companies. These appointees will act on the instruction of the client accordingly.

In addition to having at least two shareholders, every company operating in Malaysia must have at least two directors whose principal place of residence is in Malaysia. Should your company lack sufficient human resources to fulfil the directorship criteria, we can assist with sourcing suitable candidates to sit as a director within your company to ensure full compliance with Companies Act, 2016.

Similar to our engagement as the client’s corporate representative, the firm may also be engaged to provide proxies to attend any general meetings on behalf of the clients.

In compliance with the requirements of the Companies Act, 1965, each company in Malaysia is required to have a registered Malaysian address to which all communications and notices are addressed to and where relevant company documentation such as statutory records, meeting minutes, registers and common seals are held. The Registered Office also serves as the official address for correspondence with the Companies Commission of Malaysia.
If you have set up a company but do not have an immediate need to maintain an office, you may use our office as your temporary registered address for correspondence purposes.

We can assist with striking off your company from the Companies Commission of Malaysia register if your company is dormant and you would like to have it registered. We will see the process through from cradle to grave where upon completion a notice will be published by the Registrar in a Gazette confirming that the company has been successfully struck off.
